EXELATE MEDIA, LTD. -- PRIVACY POLICY
Effective: February 1, 2007
1 GENERAL
EXELATE MEDIA LTD., a company headquartered in Israel and with operations in the U.S. (“eXelate”), is the provider of the services described below, based on Delayed Ads™. Delayed Ads are trigged by Delayed-Ad-Cookies, data records that specify an ad or a group of ads that are meant to be displayed to a user in the future. The Delayed-Ad-Cookies are based on standard “cookies” (or such other technical formats that may become available in the future).
2 OUR SERVICES
Our services are executed through the following partners:

Targeting Publishers – owners of websites, or web-based services, or applications who use eXelate’s services to set Delayed Ads. |

Displaying Publishers – websites that display physical ads based on the Delayed-Ad-Cookies. |
 |
Networks – companies that bring together advertisers that are seeking sites to place ads for their products and Displaying Publishers that wish to sell advertising space on such sites. |
eXelate offers a unique targeting concept that allows Targeting Publishers to set targeted advertisements, in the form of Delayed-Ad-Cookies, to users’ computer, using the eXelate tags, and – in a subsequent phase – physical ads can be displayed based on the Delayed-Ad-Cookies by Networks or eXelate on Displaying Publishers. Through the targeted use of Delayed-Ads, eXelate’s technology and services enables advertisers and Networks to reach a narrower audience that is more likely to be interested in the ads, thereby improving the quality of the ad views and improving the likelihood of a sale, a registration or any other users action that the advertiser is trying to promote.
The eXelate tag executes each ad impression in two phases –
Phase 1: Ad Setting – eXelate has a relationship with Targeting Publishers where they integrate the eXelate tags into the html code of their website, servers or applications. The eXelate tag causes Delayed-Ad-Cookies to be set to the user’s machine using HTTP.
When a user interacts with a Targeting Publisher by, for example, visiting a website, conducting a web-based search or using a web-based application, the eXelate tag is called. The eXelate tag decides to set a Delayed-Ad-Cookies or a group of Delayed-Ad-Cookies to the user, based on various factors, such as -

Search information - the keywords searched by the user (Google, Yahoo and MSN also rely on searched keywords to choose which ads to show). |

Website information – what type of website/content was viewed by the user (almost 100% of the sites that have content in specific verticals such as Travel or Finance show ads that are relevant to that content). |

Other information provided by users, for example on web-based forms. |
Phase 2: Ad Display – the Ads display process uses the Delayed-Ads data to serve and display physical ads by the Displaying Publisher. When the user visits a Displaying Publisher, one of the following occurs:

A Network may identify its Delayed-Ad-Cookie and show a physical ad based on it. |

eXelate server may identify its Delayed-Ad-Cookie and call a display of a physical ad based on it. |
This Set-Display method enables users to view Customer ads that are more relevant to their personal interests without compromising their privacy.
3 WHAT INFORMATION DO WE COLLECT?
eXelate NEVER collects any personally identifiable information about a user, such as personal name, social security number, e-mail address, telephone number or street address. eXelate also does not match any of the cookies-based data with other data in an attempt to identify a user and thus we will NEVER KNOW the identity of a user. Also, as a matter of policy, eXelate does not set any Delayed-Ads based on adult related searches or adult content. Although some of the data contained in the cookies generated on a user’s hard drive is also written to the eXelate database, this is done solely in an aggregate form, for reporting and accounting purposes with eXelate’s clients. eXelate does not obtain or maintain separate data for a given user on its servers. The unique value of the eXelate concept is that it relies solely on Delayed-Ad-Cookies to match the user to targeted ads.
What are cookies? Cookies are small text files that web servers typically send to users’ computer when they visit a website. Cookies are stored as text files on users’ hard drive, and can be accessed by a web servers when the user returns to a website or goes to another website. Cookies are used by companies to collect and send information about a user’s website visit – for example, number of visits, average time spent, pages viewed, navigation history through the website, and other statistics. This information helps companies improve a user’s online experience in many ways: for example, by allowing companies to monitor website performance, make the website easier to use, measure the effectiveness of their promotional placements, and tailor their website to better match a user’s interests and preferences. Cookies cannot be used to access any other data on a user’s hard drive, or to personally identify them. Users who prefer not to accept cookies can set their Internet browser to notify them when they receive a cookie or to prevent cookies from being placed on their hard drive.
The eXelate tag enables Networks and advertisers to set their own Delayed-Ad-Cookie. As the cookie mechanism allows an entity that sent a cookie to later read it - the Displaying Publishers, Networks and eXelate are later able to read the Delayed-Ad–Cookies in order to execute the display of physical ads.
Some of our Targeting Publishers, Displaying Publishers and Networks may place their own cookies on a user’s hard drive outside of the eXelate service, however eXelate has no access to or control over these cookies. For more details go to the OTHER INFORMATION COLLECTORS section.
4 INFORMATION SHARING
As described above, eXelate stores only aggregated data on its servers. We may share such aggregate, non-personal information with Targeting Publishers, Displaying Publishers, and Networks in connection with reporting and accounting needs as well as with other unaffiliated third parties for various purposes such as statistical or educational analysis.
Also, in the event eXelate is merged into another company, or another company acquires all or substantially all of eXelate’s assets, including, without limitation, in the event of bankruptcy, all data compiled or owned by eXelate may be among the items transferred in that transaction. In such event, all the data will continue to be governed by this Policy.
5 ENDING THE ADS SETTING/DISPLAY PROCESS
Because eXelate’s Delayed-Ads technology is executed via setting of cookies-based data, users always have the option to cease receiving the Delayed-Ads by disabling their cookies. In order to do this, users should follow the instructions of the browser they are using. Note: the blocking of cookies applies to a specific computer and a specific web browser rather than a specific user, therefore each user will have to block receipt of cookies separately in each computer and browser that they use.
6 HOW DO YOU ACCESS AND UPDATE YOUR INFORMATION?
Because eXelate does not collect or maintain any personal data, there is no process to access or update data kept by eXelate.
7 HOW IS OUR INFORMATION SECURED AND PROTECTED?
All of the user data collected by eXelate is stored only in aggregate form, meaning that information about a specific user cannot be retrieved. Even so, we maintain physical, electronic, and administrative safeguards to protect all our data from accidental, unauthorized or unlawful access, use, modification, disclosure, loss, or destruction. The data is kept on a secure server and we restrict access to the data solely to authorized users. No security measures, however thorough, are perfect and there can be no absolute assurance of security and therefore, we cannot and do not offer an absolute guarantee or warrant the security of the information we possess.
8 OTHER INFORMATION COLLECTORS
This Policy solely covers and addresses the use of the eXelate tag to set cookies-based data and the use and handling of the aggregate data we obtain directly through the Delayed-Ads. It does not cover the setting or use of cookies - or any other data gathering - by Targeting Publishers, Networks, Displaying Publishers or any other third parties. Any such data gathering practices are covered by the privacy policy of such third parties, which may be different from ours, and users are encouraged to read those policies. eXelate is not responsible for the content of third party privacy policies, or the privacy practices employed by any third parties.
9 CHOICE OF LAW
This Policy is provided in accordance with and subject to United States law and all issues arising under or relating to this Policy are to be governed by the federal laws of the United States and the laws of the State of New York, excluding their conflicts of laws provisions.
10 CHILDREN UNDER 13 YEARS OF AGE
The services of eXelate are not intended for persons under 13 years of age. eXelate’s products and services are not developed or directed at children. We do not knowingly solicit or collect any personally identifiable information including not from children under the age of 13, nor do we knowingly market our products or services to children under the age of 13.
11 CHANGES TO OUR POLICY
We may revise this Policy at any time. Any changes and/or updates to the Policy will be updated directly on: www.eXelate.com/Privacy. We encourage you to visit this page periodically to review our current Policy so that you will always know what information we gather and how we may use that information. In the event we make any material changes to this Policy we will advise our Publishers and Networks of such changes in advance.
